1. Acceptance of Terms

By accessing or using ScopeSnap (the "Service"), operated by Fortress Apps ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users including contractors, project managers, and invited clients.

2. Description of Service

ScopeSnap is a change order management platform designed for construction contractors. The Service enables users to document field evidence, generate professional change orders, track schedule impacts, manage client approvals, and maintain an audit trail of project scope changes.

3. Accounts and Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] of any unauthorized use of your account.

Organizations using ScopeSnap are responsible for all users they invite and the data those users create or access within their workspace. Each organization's data is isolated from other organizations on the platform.

4. Subscriptions and Billing

ScopeSnap offers a free tier and a paid Pro plan. Free tier limits include up to 3 projects and 5 change orders per project. Pro plan pricing and features are described on the pricing page and may be updated with advance notice.

Paid subscriptions are billed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. Subscriptions renew automatically unless cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods except where required by applicable law.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Upload or transmit malicious code, malware, or harmful content
  • Attempt to gain unauthorized access to other users' accounts or organization data
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Use automated tools to scrape, crawl, or systematically access the Service
  • Impersonate another person or entity, or misrepresent your affiliation with any organization
  • Transmit false or misleading information in change orders or client communications

6. Uploaded Content

You retain ownership of all content you upload to ScopeSnap, including photos, voice notes, documents, and change order data ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to store, display, and process that content solely to provide and improve the Service.

You are solely responsible for the accuracy of User Content, including cost estimates, schedule impacts, and change order descriptions sent to clients. ScopeSnap does not verify the accuracy of contractor-generated data.

7. Intellectual Property

The Service, including all software, design, branding, and AI-generated features, is the exclusive property of Fortress Apps and its licensors. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

8. AI-Generated Content

ScopeSnap uses AI to assist in generating change order text, cost summaries, and transcriptions. AI-generated content is provided as a starting point and may contain errors or inaccuracies. You are responsible for reviewing, editing, and approving all content before sending it to clients. ScopeSnap makes no warranty that AI-generated content is accurate, complete, or legally sufficient for any purpose.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FORTRESS APPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, suspected fraud, or for any other reason with or without notice. Upon termination, your right to access the Service ceases. We may retain User Content for a reasonable period after termination as required by law or for legitimate business purposes.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
